Terms of Service

Acceptance of Terms

By accessing or using any VBA product, platform, website, application, or service — including VBA Core, Venovax, Kreadiv, KreadivNext, Kreadiv Photos, VBAVoice, Mission Series, Venovax Edu, and any future VBA offering (collectively, the "Services") — you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

These Terms constitute a legally binding agreement between you and Venture Beyond Aspirations LLC ("VBA," "we," "us," or "our").

About VBA

Venture Beyond Aspirations (VBA) is a technology company that builds software platforms, creative services, and business support tools for founders, entrepreneurs, and growing organizations. VBA operates multiple interconnected products and platforms under one legal agreement to provide a consistent, unified experience across the VBA technology ecosystem.

Products and Services Covered

These Terms apply to all current and future VBA products, platforms, websites, applications, and services, including but not limited to:

  • VBA Core — Member platform with resources, tools, and strategy support
  • Venovax — CRM and client intelligence platform
  • Kreadiv — Digital experience studio: websites, brand and design
  • KreadivNext — Booking and scheduling technology for Kreadiv websites
  • Kreadiv Photos — Client photo delivery and galleries
  • VBAVoice — Business phone and communication services
  • Mission Series — Educational and professional development programs
  • Venovax Edu — Vocational education platform and school portal
  • VBA Vision — Community content and podcast network
  • Max AI — AI-powered guidance and business support assistant

This list is illustrative, not exhaustive. Any new product, platform, or service introduced by VBA is also governed by these Terms unless a separate written agreement is provided.

Eligibility

You must be at least 18 years of age to create an account and agree to these Terms on your own behalf. If you are between 15 and 17 years of age, you may access certain Services — such as Venovax Edu — only with documented consent from a parent or legal guardian, who accepts these Terms on your behalf.

By using the Services, you represent and warrant that:

  • You have the legal capacity to enter into a binding agreement
  • The information you provide is accurate and complete
  • Your use of the Services does not violate any applicable law or regulation

Accounts and Registration

To access certain Services, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You agree to:

  • Provide accurate, current, and complete information during registration
  • Update your information as needed to keep it accurate and complete
  • Notify us immediately at hello@vbaspire.com of any unauthorized access to or use of your account
  • Not share your credentials or grant access to your account to any unauthorized third party

VBA reserves the right to suspend or terminate accounts that violate these Terms, contain fraudulent information, or have been inactive for an extended period.

Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable local, state, national, or international laws or regulations
  • Transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any portion of the Services, other user accounts, or systems connected to the Services
  • Use automated scripts, bots, scrapers, or other tools to extract data from the Services without express written permission
  • Upload or transmit malicious code, viruses, or any programming intended to damage or interfere with the Services
  • Use the Services to send unsolicited commercial communications (spam) to any person
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to develop competing products or services

Violations of this policy may result in immediate suspension or permanent termination of your account without refund.

Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, icons, images, audio clips, video, software, and the overall look and feel — are owned by VBA or its licensors and protected by copyright, trademark, and other intellectual property laws.

VBA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended personal or business purposes. You may not reproduce, distribute, modify, publicly display, create derivative works of, or otherwise exploit any VBA content without prior written consent from VBA.

You retain ownership of content you submit to the Services. By submitting content, you grant VBA a worldwide, royalty-free, sublicensable license to use, reproduce, store, display, and distribute your content solely as necessary to provide and improve the Services.

Subscriptions, Payments, and Billing

Certain Services require payment of subscription fees or one-time charges. By providing payment information, you authorize VBA or its authorized payment processors to charge you the applicable fees on a recurring basis.

Subscription fees are billed in advance on the billing cycle you select (monthly or annual). All fees are stated in U.S. dollars and are non-refundable except as expressly stated in Section 9 or required by applicable law.

VBA reserves the right to modify pricing for any Service. We will provide at least 30 days' advance notice of any price increases to active subscribers. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.

Failure to pay applicable fees may result in suspension or termination of your access to paid Services.

Cancellations and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at hello@vbaspire.com. Cancellations take effect at the end of the current billing period; you retain access to paid Services through the period for which you have already been charged.

VBA does not provide prorated refunds for unused portions of a billing period. Exceptions may be granted at VBA's sole discretion in cases of documented service failure or billing error. To request a refund, contact hello@vbaspire.com within 30 days of the charge in question.

Third-Party Services and Integrations

The Services may integrate with or link to third-party services, websites, and applications. VBA does not control and is not responsible for the content, availability, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to those parties' terms and policies.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND — EXPRESS, IMPLIED, OR STATUTORY. VBA EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VBA does not warrant that the Services will be uninterrupted, timely, secure, or error-free. VBA does not warrant the accuracy, reliability, or completeness of any content available through the Services, including content generated by AI assistants.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VBA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF VBA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VBA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO VBA IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless VBA and its officers, directors, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to: (a) your use of or inability to use the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Services.

Termination

VBA may suspend or terminate your access to any or all of the Services at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, without limitation, violation of these Terms, fraudulent activity, or conduct VBA determines to be harmful to other users or to VBA.

You may terminate your account at any time by contacting hello@vbaspire.com. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive — including Sections 7, 11, 12, 13, and 15 — will survive termination.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict-of-law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Missouri, and you irrevocably consent to personal jurisdiction in those courts.

Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by notifying VBA at legal@vbaspire.com with a written description of the dispute. VBA will attempt in good faith to resolve the dispute within 30 days of receipt of written notice.

Changes to These Terms

VBA reserves the right to update or modify these Terms at any time. When changes are material, we will notify you at least 14 days in advance by email or by posting a prominent notice within the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
